Bylaws

Article I | Membership Meetings

  1. Annual Meetings:
    There shall be an annual meeting of the members of the Auburn University Retiree Association (AURA) each year. The annual meeting shall be held in the month of May at a time and place designated by the Board of Directors. At such meeting the members of AURA shall transact such business as may properly be presented for action by the members. Other items of interest may be introduced for future consideration.
  2. Other Meetings:
    There may be other meetings of the members as the Board directs.
  3. Notice of Meetings:
    The Secretary shall provide notice of the time, place and purpose of all meetings of the membership
  4. Quorum:
    A quorum for actions of AURA shall be the lesser of ten percent (10%) of the members or twenty-five (25) members. 

Article II | Composition of the Board of Directors

The Board responsible for governing the Association shall be composed of twelve (12) elected members and at least one ex-officio member (the Immediate Past President). The President shall serve as chairperson of the Board. The outgoing elected Board members shall serve as a committee to propose the new officers. If the President is not outgoing, then he/she will appoint a chairperson. 

Article III | Meetings of the Board

  1. Planning Meeting:
    The Board shall hold a planning meeting within two (2) months after the annual meeting to approve the Chairpersons of the standing and other committees and to plan the work of AURA for the ensuing year. The President shall designate the time and place for this meeting.
  2. Regular Board Meetings:
    The Board shall meet monthly, unless otherwise agreed to. The time and place of such meetings shall be established by the Board.
  3. Special Board Meetings:
    Special meetings of the Board may be held upon call of the President, or upon request of any three (3) members of the Board.
  4. Notice of Board Meetings:
    The Secretary shall give notice of each meeting of the Board to each of its members.
  5. Quorum:
    A majority of the members of the Board shall constitute a quorum.

Article IV | Membership Dues

  1. Amount:
    The amount of annual dues shall be based on the following categories of membership:
    (a)  Single retiree $25.00
    (b)  Retiree and spouse $25.00
    (c)  Retiree and retired spouse $25.00
    (d)  Surviving spouse of retiree $10.00
    (e)  Sponsor (An individual or an entity) $25.00

    All amounts listed are for a calendar year.
  2. Dues Period and Time of Payment
    Dues shall be for the calendar year, which is the fiscal year for AURA. They are due on January 1st and should be paid no later than March 1st.
  3. Charter Membership:
    Members who have paid dues by March 1, 1996 are considered "Charter Members" of the Association.

Article V | Committees

  1. Executive Committee of the Board:
    The Executive Committee of the Board of Directors is composed of the officers of the Association, a member-at-large from the Board who is appointed by the President; and the immediate Past President. The President shall serve as chairperson of the Executive Committee. The Executive Committee has the general responsibility of assisting the Board by doing any requested fact-finding, proposing policies for the Board’s consideration, and acting for the Board when requested to do so. It is also responsible for selecting speakers for general and special meetings, as requested by the Board.
  2. Standing Committees:
    Standing committees include such committees as the Board determines to be essential or desirable to carry out the purposes of AURA. The chairperson and members for each committee shall be designated by action of the Board. Standing Committees may appoint subcommittees which shall report to them. Members of Standing Committees shall serve a one (1) year term and are eligible for successive reappointment.
  3. Ad Hoc Committees:
    The Board may appoint ad hoc committees for the study of special needs and problems. A chairperson for each of these committees shall be designated by the Board. These committees shall report to the Board and shall serve at its pleasure. 

Article VI | Amendments

The Board, by a two-thirds (2/3) vote, may amend the bylaws at any regular or special meeting, provided that the proposed amendment has been circulated to the Board at least one (1) week before the meeting at which the amendment is to be voted on. Amendments may be proposed by any member of AURA.
