Bylaws of the Auburn University Health Administration Advisory Council

ARTICLE I - NAME
This organization shall be known as the Auburn University Health Administration Advisory Council.
ARTICLE II - PURPOSE
The purpose of this organization shall be to assist the Health Administration Program of Auburn University in maintaining programmatic quality and relevance both in terms of substantive information and methods taught and in regard to the goals, objectives, and techniques of the Program itself.
To implement this purpose, the Council shall at least annually review general Program activities, shall provide input into proposed curriculum changes, especially major curriculum changes, and shall provide comments during programmatic re-evaluations.
ARTICLE III - MEMBERSHIP
Section 1. Types of Members
- Regular.
Regular members shall serve a term of three years,beginning in the Fall of a given academic year, with one-third of the nine regular member Council members selected every year. Exception: The Chair shall be a tenth member with a separate term of three years.
- Associate.
Associate members are administrators interested in providing input into the activities of the Health Administration Program but whose geographical distance or professional activities make full participation, including attendance at Council meetings, difficult. Access to the Internet and to electronic ("e-mail") shall be a requirement for such membership. Associate members shall have no fixed term.
- HA Program Director.
The HA Program Director, or his/her designated representative, shall be a non-voting member.
Section 2. Selection.
Both types of Council members are appointed by the HA Program Director in consultation with the incumbent Council Chair. Nominations shall be solicited from the Council and from the HA Alumni Organization.
Section 3. Termination of Membership
- Regular members who miss two meetings of the Council in succession shall be terminated from membership.
- Associate members who do not contact the Chair or the HA Program Director over the course of a calendar year shall be terminated from membership.
ARTICLE IV - DUES
Service on the Advisory Council is a donation of members' professional time and talents to Auburn University. Therefore, no additional dues shall be charged to members.
ARTICLE V - MEETINGS
Section 1. Frequency
The Council shall meet at least once a year. Additional meetings if necessary may be called by the Chair, the HA Program Director, or by petition of a majority of regular members to the Chair. If at all possible at least two weeks' notice shall be provided for any additional meetings, at least thirty days' notice for regular meetings.
Section 2. Rules of Order
All Council meetings shall be conducted by Robert's Rules of Order unless in conflict with these bylaws, in which case the bylaws shall take precedence.
Section 3. Quorum
A valid quorum shall be declared for any duly called meeting of Council members and the Program Director or his/her designated representative provided an appropriate notification to members of the meeting has been made in advance. (see above)
ARTICLE VI - OFFICERS
Section 1. Types of Officers.
The officers of the Council shall be a Chair, a Deputy Chair, and a Secretary.
Section 2. Election.
Officers shall be elected by the regular members of the Council by secret ballot.
Section 2. Terms of Officers.
The Chair shall serve a three-year term. Other officers shall serve a term of no more than three years, contiguous with their term of appointment. All officers may be re-elected.
Section 3. Duties of Officers.
- The Chair shall coordinate meetings of the Council, appoint any committees, and may convene meetings of the Council.
- The Deputy Chair shall substitute for the Chair in representing the Council when the Chair is not available, shall succeed the Chair to that office if the Chair must step down before the end of his/her term, and shall assist the Chair in the performance of the work of the Council. He/she may convene meetings of the Council if the incumbent Chair is unable to do so.
- The Secretary shall take minutes of all meetings, or arrange in advance for another person to do so if he/she cannot be present, shall circulate minutes following meetings to all regular and associate members, and shall carry out all general correspondence for the Council.
ARTICLE VII - COMMITTEES
The Chair may appoint such committees as may be necessary to conduct the work of the Council. The chair of each committee shall be a regular member, but the membership may include associate members, at the Council Chair's discretion.
ARTICLE VIII - VOTING
Section 1. Regular Members.
Regular members have full voting rights on the Council.
Section 2. Associate Members.
Associate members have no voting rights on the Council but shall review Council and Program activities and provide input.
Section 3. Chair.
The Chair shall vote only to break ties.
ARTICLE IX - AMENDMENTS TO BYLAWS
Section 1. Proposal.
Amendments to these bylaws may be proposed by a simple majority of the regular Council members in attendance at a duly called meeting.
Section 2. Adoption.
Amendments shall be adopted by a simple majority of the regular Council members voting either by mail or in person no sooner than thirty days after their proposal, with due notice to all members.
